STANDARD TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale ("Terms") govern all sales of products and services by Agsure Innovations Pvt. Ltd. ("Agsure"), including through its website www.agsure.in. By placing an order with Agsure, the client acknowledges and agrees to the following terms:

1. Applicability

1.1. The client explicitly waives its own standard terms and conditions, even if these were communicated after these Terms.

1.2. Any deviations or modifications to these Terms must be expressly agreed upon in advance and in writing by Agsure.

2. Products and Services

2.1. Agsure supplies the following:

·       - Products: Agsure Grain Analyzers, Agsure Coffee Bean Analyzer

·       - Subscription-Based Products: Agsure Grain Analyzer on a subscription model

·       - Software as a Service (SaaS): Agreap, a pocket ERP solution, on a subscription basis

2.2. All hardware devices must be used as per the Standard Operating Procedures (SOPs) provided in the user manual. Improper use or tampering is strictly prohibited.

3. Subscription Model and Device Handling

3.1. Devices supplied under the subscription model remain the property of Agsure throughout the subscription period.

3.2. Clients are required to pay a refundable security deposit at the start of the subscription. The deposit will be refunded after a complete inspection of the returned device, subject to deductions for any hardware damage or non-compliance with the SOP.

3.3. Any damage to a device under the subscription model due to mishandling or tampering will incur a penalty equivalent to the retail value of the device.

3.4. No unauthorized modifications, dismantling, or tampering with any device are permitted. Such actions will void any warranty, support, or eligibility for refund/security deposit.

4. Invoicing and Payment Terms

4.1. All invoices are payable within seven (7) working days from the invoice date unless specified otherwise.

4.2. In the event of non-payment by the due date, Agsure reserves the right to:

·       - Charge interest at 18% per annum on the outstanding amount.

·       - Suspend delivery or services without prior notice.

4.3. If payment remains outstanding more than forty-five (45) days beyond the due date:

·       - Agsure may initiate debt recovery proceedings, including informing the MSME portal.

·       - All associated legal and recovery costs will be borne by the client.

5. Withholding Tax and Local Regulations

5.1. If any country mandates a withholding tax on invoices under local laws, the client is responsible for compliance and payment of such taxes.

5.2. Under no circumstances shall Agsure be liable for any costs arising from foreign legislation. Invoices must be paid in full without deductions.

6. Delivery, Services, and Warranty

6.1. Agsure commits to delivering high-performance products and services within reasonable timeframes. However, all commitments are best-effort, and not guaranteed results.

6.2. Agsure shall not be held liable for any indirect, incidental, or consequential damages arising from the use of its products or services.

6.3. Agsure shall not be required to act as a third party in any claims initiated by an end customer against the client.

7. Claims and Complaints

7.1. Any claims regarding goods or services must be submitted by recorded delivery to Agsure’s registered office within eight (8) days of receipt.

7.2. Claims made after this period will not be considered valid.

8. Governing Law and Jurisdiction

8.1. These Terms shall be governed and interpreted in accordance with Indian Law.

8.2. All disputes shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
